PRISM International Community Terms of Use

I. TERMS OF USE

By using the PRISM International Community, provided as a member service of PRISM International, Inc., you are agreeing to be bound by the following terms and conditions ("Terms of Use").

1. You are responsible for any activity that occurs under your screen name.
2. You are responsible for keeping your password secure.
3. You must not abuse, harass, threaten, impersonate or intimidate other PRISM International Community users.
4. You may not use the PRISM International Community service for any illegal or unauthorized purpose. International users agree to comply with all local laws regarding online conduct and acceptable content.
5. You are solely responsible for your conduct and any data, text, information, screen names, graphics, photos, profiles, audio and video clips, links ("Content") that you submit, post, and display on the PRISM International Community.
6. You must not modify, adapt or hack the PRISM International Community or modify another website so as to falsely imply that it is associated with PRISM International Community.
7. You must not create or submit promotional product or service email to any PRISM International Community members ("Spam").
8. You must not transmit any worms or viruses or any code of a destructive nature.
9. You must not, in the use of PRISM International Community, violate any laws in your jurisdiction (including but not limited to copyright laws).
10. We reserve the right to modify or terminate the PRISM International Community service for any reason, without notice at any time.
11. We reserve the right to alter these Terms of Use at any time. If the alterations constitute a material change to the Terms of Use, we will notify you via internet mail according to the preference expressed on your account. What constitutes a "material change" will be determined at our sole discretion, in good faith and using common sense and reasonable judgement.
12. We reserve the right, in accordance with any applicable laws, to refuse service to anyone for any reason at any time.
13. We may, but have no obligation to, remove Content and accounts containing Content that we determine in our sole discretion are promotional, unlawful, offensive, threatening, libelous, defamatory, obscene or otherwise objectionable or violates any party's intellectual property or these Terms of Use.

In addition to these terms of use, the PRISM International Community is provided under the following general conditions:

II. THIRD PARTY MATERIALS AND WEBSITES

PRISM International provides this community, which includes information and services, on the Internet as a benefit of membership in the organization. This is consistent with the mission and purpose of the association. PRISM International reserves the right to remove any materials that are posted by third parties onto this site. Notwithstanding the reservation of this right, PRISM International is not responsible for material posted by any third party. PRISM International specifically disclaims any and all liability for claims or damages, which result from any postings by third parties. Although the PRISM International website and community may include links providing direct access to other Internet sites, PRISM International has not participated in the development of those other sites, and does not exert any editorial or other control over those other sites.

III. COPYRIGHT OF MATERIALS ON THE WEBSITE AND COMMUNITY

The contents of all material available on this Web site are copyrighted by PRISM International unless otherwise indicated. Copyright is not claimed as to any part of an original work prepared by a U.S. or state government officer or employee as part of that person's official duties. All rights are reserved and content may not be reproduced, downloaded, disseminated, or transferred, in any form or by any means, except with the prior written agreement of PRISM International or as indicated elsewhere on this website or community. Users may download pages or other content for their own personal use on a single computer, but no part of such content may be otherwise or subsequently reproduced, downloaded, disseminated, or transferred, in any form or by any means, except with the prior written agreement of, and with express attribution to, PRISM International.

IV. PRISM COMMUNITY RESERVED FOR THE USE OF PRISM INTERNATIONAL MEMBERS

The PRISM International Community is a service provided by PRISM International in furtherance of it’s not for profit and tax-exempt purposes. This community may be used only by PRISM International members and only for the purpose of discussing matters related to or arising out of the commercial information management industry.

V. RULES OF OPERATION FOR PRISM COMMUNITY

• Do not post any defamatory, abusive, profane, threatening, offensive, or illegal information or material, and do not utilize the community in any illegal manner.
• Do not post any information or other material protected by copyright without the permission of the copyright owner. Do not use any words, logos or other marks that would infringe upon the trademark, service mark, certification mark, or other intellectual property rights of the owners of such marks without the permission of such owners.
• Do not post any confidential information or any information that would infringe upon the proprietary, privacy or personal rights of others.
• Do not post any information or other material that constitutes or could reasonably be construed as constituting advertising, marketing, solicitation of business, vending, attempting to sell or promote products or services, or otherwise engaging in or attempting to consummate commercial or professional transactions.
• By posting material, the posting party warrants and represents that it owns the copyright with respect to such material, has received permission from the copyright owner, and/or that the material is in the public domain. The posting party further warrants and represents that it otherwise has the full and unencumbered right to post such material and that such posting will not infringe any rights or interests of others. In addition, the posting party grants PRISM International and users of this community a non exclusive, perpetual, irrevocable license to display, copy, publish, distribute, transmit, print, and use such information or material in any manner, without payment to the posting party.
• This community shall not be utilized in any manner that violates federal or state antitrust laws or other laws prohibiting anticompetitive practices. The antitrust laws generally prohibit any agreement or understanding inconsistent with the right and obligation of competitors to exercise independent business judgment in pricing their products or services, dealing with their customers and suppliers, and selecting the markets in which to compete, among other business practices. No express agreement or understanding is required; one can be inferred from statements or conduct. Do not post any information regarding specific prices or fees charged or paid, and do not post any information concerning prices, pricing practices, discounts, or other terms or conditions of sale either obtained by or offered to another entity. Do not post any information concerning market shares, salaries, costs, sales territories, profit margins, or encouraging the selection or rejection of customers or suppliers.
• All postings shall be of an informational nature and for informational purposes only. Commercial use or any other unauthorized use of this community is prohibited. Do not use the community to solicit or conduct business, including the direct or indirect marketing of users’ products or services, in any manner. The community may not be used to provide information, materials, products, or services in exchange for compensation of any kind.
• PRISM International does not generally monitor the community for inappropriate postings, and does not, on its own, undertake editorial control of postings. However, in the event that any inappropriate posting or unauthorized use of the community is brought to PRISM International's attention, including but not limited to prohibited posting and usage as outlined herein, PRISM International will take all appropriate action, in its sole discretion.

VI. RIGHT TO TERMINATE PARTICIPATION IN COMMUNITY

PRISM International reserves the right to terminate, without prior notice, community access of any user who does not abide by these guidelines, and/or to take other disciplinary action against violators.
